Adhesion Contract (ENGLISH)

Soft supplier: the company SECRETUL DOMNITEI IQ NUTRI LINE, hereinafter called the Company.

Clients: basic name given to the company soft users, natural or legal persons, professionals or unprofessional; Professional clients are doctors, dieticians – who exercise their profession under the terms regulated by Law no.256/2015, nutritionists, and, generally, professional categories which have legally acquired competences to prescribe nutrition plans.

Soft: FeedMe Smart

The soft access and use by any Company Client expresses their firm, unequivocal acceptance of the below rules;

  1. The Client is the sole responsible for the correctness and accuracy of the information he fills in in the medical history questionnaire offered by the Soft, being aware of the fact that the efficiency of the diets obtained by using the Soft depends on the said information. The Soft supplier is not liable in any way for the information filled in by the client in the medical history questionnaire;
  2. Through the Soft, the clients have access to the diet plans preset by the accredited doctors, dieticians or nutritionists.
    Additionally, professional clients may both access and draw up/modify diet plans on the basis of medical history questionnaires filled by them, on their own liability, with the data of their own clients – offline or online beneficiaries of the Soft.
  3. Professional clients acquire the right to access the Soft on the basis of a monthly subscription which offers them the right to value a number of a minimum of 25 profiles (1 profile = 1 final beneficiary) for their own clients (final beneficiaries of the soft);
    In this case, the Company subscribers are liable towards their own clients for the prescribed/recommended diets as the correctness of the information included in the medical history questionnaire belongs to them.
  4. Professional clients are liable for the notification of and reception of the agreement related to the use of the personal data of their own clients (final beneficiaries), respectively for their notification on the scope and type of personal data processing by them and by SECRETUL DOMNITEI IQ NUTRI LINE according to the Note of Enclosure 1
  5. The right to brand the webcloud console and the mobile application is a facility granted to professional Clients and is intended exclusively for the use of the Software under the personal brand. This branded right does not transfer ownership of the Software.

Introduction

Thank you for the interest shown to our company and to the products and/or services it offers. When you enter in a relationship of any kind with us, you entrust us with your information, thus, the purpose of this Confidentiality Policy is to explain what data we process, why we process and what do we do with them. We take your confidentiality very seriously and we never sell lists or e-mail addresses. Being fully aware of the fact that your personal information belongs to you we do everything in our power to store it safely and process it attentively. We do not offer information to third parties without notifying you. Such information is important. We hope you read them attentively. This note informs you on the information we process with reference to you in relationship with our organization. Collecting this information, we act as an operator and, by law, we are obliged to supply information on us, on the reason and manner in which we use your data and on the rights you have on your data.

Other services
This Confidentiality Policy does not cover the applications and sites of other thirds you may reach by accessing the links on our site. This exceeds our control. We encourage you to examine the Confidentiality Policy on any site and/or application before you supply personal data.

Who are we?
SECRETUL DOMNITEI IQ NUTRI LINE SRL (PRINCESS’ SECRET IQ NUTRI LINE Ltd.) with its headquarters in the city of Cluj-Napoca, str. Horea, nr. 3, room 309, 3rd floor, Cluj County, Trade Register entry no. J12/5403/2018, Taxpayer ID code 40293228, has Mr. Andrei Cosma as data protection representative, e-mail: office@umba.ro , is liable for the processing of your personal data which we collect directly from you or from other sources.  According to the legislation, our company is a personal data operator. So that your data be processed in full safety, we spared no effort to implement reasonable measures to protect your personal information.

Who are you?
According to legislation, the natural person beneficiary of our services or the person in a relationship of any kind with our company is a “target person”, i.e. a and identified or identifiable natural person. In order to be completely transparent in what concerns data processing and to allow you exercise easily, at any moment, your rights, we implemented measures to facilitate communication between us, the data operator and you, the target person.

Our commitment
The protection of your personal information is very important to us. That is why we commit to observe the European and national legislation on the personal data protection, especially the Regulation (EU) 679/2016 also known as GDPR and the following principles:

  • Lawfulness, equity and transparence
    We process your data legally and correctly. We are always transparent about the information we use and you are notified accordingly.
  • You are in control
    Within the limits of the law, we offer you the possibility to examine, modify, erase the personal data which you shared with us and to exercise the other rights.
  • Data integrity and purpose limitation
    We use the data only for the purposes described at the collection moment or for new purposes compatible with the initial ones. In all cases, our purposes are compatible with the legislation. We take reasonable measures to make sure that your personal data are correct, complete and updated.
  • Security
    We implemented reasonable security and encryption measures so that we protect your information as best we can. However, bear in mind that no web site, no application and no internet connection is completely safe.

Changes
We can change this Confidentiality Policy at any time. All updates and modifications of the present Policy are valid immediately subsequent to notification which will be done by posting it on the site and/or notification via e-mail.

What kind of information we collect about you?
When you are in a relationship of any kind with us, it is possible that you give us or that we receive from other sources information including:

  • Measures of your physical body
  • General data on the diseases you have
  • Sex
  • Specific details on your nutrition (foods and drinks you consume)
  • The type of physical drills you do

  • Web pages you access on our site

Why we collect this information?
We collect your information for well determined and legitimate purposes which include, but are not limited to the following:

  • To sign or execute a contract between you and us;
  • To answer your questions and queries;
  • For marketing purposes but only in the situation in which we have your prior consent;
  • To offer and improve the services and products we have;
  • To diagnose or remedy technical problems;
  • To defend ourselves against cyber attacks;
  • For accounts creation and/or maintenance;
  • To comply with the legislation;
  • To ascertain or claim a right in court;

Which is the processing legal basis?

  • Processing is necessary for the conclusion or execution of a contract between you and us in order to be able to use our website and application for purposes related to the analysis and draw up of a customized diet plan

How long do we store the data?
We store the personal data just for the period necessary to the fulfillment of our purposes but not longer than 12 months from the contract expiry or the last interaction with us or with our applications.  Subsequent to the period end, the personal data will be destroyed or erased from the computer systems or turned into anonymous data to be used for scientific, historical or statistic research related purposes. Bear in mind that in certain expressly regulated situations we store the data for the period which is imposed by the law.

How do we share your information with the others?
We may disclose your data, observing the applicable law, to business partners or to thirds. We permanently spare no effort to make sure that those thirds have implemented adequate protection and security measures. With the said thirds we have contractual clauses so that your data is protected. We will inform you on the identity of those companies prior to transmission or within a reasonable deadline and we will make sure that any transfer is legitimate being based on your consent or on other legal basis. For example, we could supply your data to other companies like IT services or telecommunications, accounting, legal services suppliers or other thirds with whom we have a contractual relation. These thirds are selected with the utmost care so that your data be processed only for the purposes we indicate.  Also, we could share your data with business partners in consequence of a joint effort to offer a product or a service. Though hardly probable, we could sell the business or part of the business sometimes in the future, situation which will include the transfer of your data. We could transfer your data to other parties having your consent or in accordance with your instructions.  We will also be able to supply your personal data to the prosecutor’s office, police, courts of law and other qualified entities of the state, on the basis of and within the limits of the legal provisions and subsequent to expressly formulated requests. Within reasonable limits, we will make sure that your data will not leave the European Economic Area but, to the extent in which we will transfer data to states from outside the EEA, we will make sure, in all cases, that transfers are legitimate being based on your explicit consent or on other legal grounds.

Which are your rights?
According to the GDPR Regulation, your rights are the following:

  • Right to information on your data processing
  • Right to access on the data
  • Right to rectification of the inexact or incomplete data
  • Right to erasure (“Right to be forgotten”)
  • Right to restrict processing
  • Right to send the data we have on you to another operator
  • Right to object to data processing
  • Right to not make the object of a decision based exclusively on automated processing, including profiling
  • Right to institute proceedings
  • Right to a complaint before a Supervisory Authority

Please, bear in min d that:

  • You may withdraw your consent for direct marketing at any moment following the unsubscribe instructions of each e-mail/SMS or other electronic message.
  • If you wish to exercise your rights, you may do that by sending a written, signed and dated request on the e-mail address: sales@feedmesmart.com .
  • The above counted rights are not absolute. There are exceptions, that is why each received request will be analyzed so that we may decide if it is grounded or not. To the extent in which the request is grounded, we will facilitate the exercise of your rights. Should the request be insubstantial, we will deny it but we will notify you on the denial grounds and on the rights to file a complaint with the Supervisory Authority or to institute proceedings in court.
  • We will try to answer your request within 30 days. However, the term may be extended according to various aspects like the request complexity, the great number of requests received or the impossibility to identify you within a reasonable time interval.
  • Though we will spare no effort, if we do not manage to identify you and you do not supply us with additional information to enable us identify you, we are not obliged to act on your request.

Furnizorul softului : societatea SECRETUL DOMNITEI IQ NUTRI LINE, denumita in continuare Societatea

Clienti: denumirea generica data utilizatorilor soft-ului societatii, persoane fizice sau juridice, profesionisti sau neprofesionisti; Sunt clienti profesionisti medicii, dieteticienii – care isi exercita profesia in conditiile reglementate de Legea nr.256/2015, nutritionistii, si, in general, categorii profesionale care au competente legal dobandite pentru a prescrie planuri de nutritie

Soft-ul : FeedMe Smart

Accesul si utilizarea soft-ului de catre orice Client al Societatii, exprima acceptarea ferma, neechivoca de catre acestia a regulilor de mai jos;

  1. Clientul este unicul raspunzator de corectitudinea si acuratetea informatiilor completate de el in chestionarul de anamneza oferit de Soft, avand cunostinta de faptul ca de ele depinde eficienta dietelor obtinute prin valorificarea Soft-ului. Furnizorul soft-ului nu are nicio raspundere legata de informatiile completate de client in chestionarul de anamneza;
  2. Prin intermediul Soft-ului, clientii au acces la planurile de dieta prestabilite de medici dieteticieni sau de nutritionisti acreditati.
    In mod suplimentar, clientii profesionisti pot atat sa acceseze cat si sa intocmeasca/modifice planuri de dieta pe baza chestionarelor de anamneza completate de ei, pe proprie raspundere, cu datele clientilor proprii – beneficiari off-line sau on-line ai soft-ului.
  3. Clientii profesionisti dobandesc dreptul de a accesa Soft-ul pe baza unui abonament lunar care le ofera dreptul de a valorifica un numar de minim 25 profile (1 profil = 1 beneficiar final) pentru proprii clienti (beneficiari finali ai soft-ului);
    In acest caz, abonatii Societatii raspund fata de proprii clienti pentru dietele prescrise/recomandate, intrucat corectitudinea informatiilor incluse in chestionarul de anamneza le apartine.
  4. Clientii profesionisti sunt responsabili cu informarea si primirea acordului pentru utilizarea datelor personale pentru proprii clienti (beneficiarii finali), respective cu informarea acestora despre scopul si tipul prelucrarii datelor personale de catre ei si de catre SECRETUL DOMNITEI IQ NUTRI LINE conform notei de informare din anexa 1
  5. Dreptul de personalizare a consolei webcloud și a aplicației mobile este o facilitate acordată Clienților profesioniști și este destinat exclusiv utilizării Soft-ului sub brandul personal. Acest drept de personalizare nu transfera dreptul de proprietate asupra Soft-ului.

Anexa 1 – Nota informare privind protectia datelor cu caracter personal

Introducere
Va multumim pentru interesul acordat companiei noastre si produselor si/sau serviciilor oferite de aceasta. Cand intrati intr-o relatie de orice fel cu noi, ne incredintati informatiile dvs, astfel ca scopul acestei Politici de confidentialitate este sa va explice ce date prelucram, de ce le prelucram si ce facem cu ele. Va luam in serios confidentialitatea si nu vindem niciodata liste sau adrese de e-mail. Fiind pe deplin constienti de faptul ca informatiile personale va apartin, facem tot posibilul sa le stocam in siguranta si sa le prelucram cu atentie. Nu oferim informatii unor parti terte fara a va informa. Aceste informatii sunt importante. Speram sa le cititi cu atentie. Aceasta nota va informeaza despre informatiile pe care le procesam in legatura cu dvs in relatie cu organizatia noastra. In colectarea acestor informatii, noi actionam in calitate de operator si, prin lege, suntem obligati sa va furnizam informatii despre noi, despre motivul si modul in care folosim datele tale si despre drepturile pe care le aveti asupra datelor dvs.

Alte Servicii
Aceasta Politica de confidentialitate nu acopera aplicatiile si site-urile altor terti la care puteti ajunge prin accesarea link-urilor de pe site-ul nostru. Acest lucru excedeaza controlului nostru. Va incurajam sa examinati Politica de confidentialitate de pe orice site si/sau aplicatie inainte de a furniza date personale.

Cine suntem noi?

J12/5403/2018, avand CUI 40293228, avandu-l ca reprezentant cu protectia datelor pe dl. Cosma Andrei, e-mail office@umba.ro, este responsabila de prelucrarea datelor dvs cu caracter personal, pe care le colectam direct de la dvs sau din alte surse.  Potrivit legislatiei, compania noastra, este operator de date cu caracter personal. Pentru ca datele dvs sa fie prelucrate in siguranta, am depus toate eforturile sa implementam masuri rezonabile pentru a proteja informatiile dvs personale.

Cine sunteti dumneavoastra?
Potrivit legislatiei, persoana fizica beneficiara a serviciilor noastre sau persoana aflata intr-o relatie de orice fel cu compania noastra, esti o „persoana vizata”,adica o persoana fizica identificata sau identificabila. Pentru a fi complet transparenti in privinta prelucrarii de date si pentru a va permite sa va exercitati cu usurinta, in orice moment, drepturile, am implementat masuri pentru a facilita comunicarea dintre noi, operatorul de date si dvs, persoana vizata.

Angajamentul Nostru
Protectia informatiilor dvs personale este foarte importanta pentru noi. De aceea, ne-am luat angajamentul sa respectam legislatia europeana si nationala privind protectia datelor cu caracter personal, in special Regulamentul (EU) 679/2016, cunoscut si sub denumirea de GDPR si urmatoarele principii:

  • Legalitate, echitate si transparenta
    Prelucram datele dvs legal si corect. Suntem intotdeauna transparenti in privinta informatiilor pe care utilizam, iar dvs sunteti informat corespunzator.
  • Controlul iti apartine
    In limitele legii, va oferim posibilitatea de a examina, modifica, sterge datele personale pe care le-ati impartasit cu noi si de a va exercita celelalte drepturi.
  • Integritatea datelor si limitarea scopului
    Utilizam datele numai in scopurile descrise la momentul colectarii sau in noi scopuri compatibile cu cele initiale. In toate cazurile, scopurile noastre sunt compatibile cu legislatia. Luam masuri rezonabile pentru a ne asigura ca datele personale sunt corecte, complete si actualizate.
  • Securitate
    Am implementat masuri rezonabile de securitate si criptare, astfel incat sa iti protejam cat mai bine informatiile. Cu toate acestea, retineti faptul ca niciun site web, nicio aplicatie si nicio conexiune la internet nu este complet sigura.

Schimbari
Putem schimba aceasta Politica de confidentialitate in orice moment. Toate actualizarile si modificarile prezentei Politici sunt valabile imediat dupa notificare, pe care o vom realiza prin afisare pe site si/sau notificare pe e-mail.

Ce fel de informatii colectam despre dvs?

Cand va aflati intr-o relatie de orice fel cu noi, este posibil sa ne dati sau sa primim din alte surse informatii incluzand:

  • Numele si prenumele
  • Titlul professional
  • Numar de telefon
  • Adresa de e-mail
  • Data nasterii
  • Adresa
  • Inaltimea si greutatea
  • Masurile corpului fizic
  • Date generale despre afectiunile pe care le ai
  • Sexul
  • Detalii specifice privind alimentatia dvs (alimentele si bauturile pe care le consumati)
  • Tipurile de exercitii fizice practicate

Este posibil sa colectam date prin module cookie sau alte tehnologii similare, precum:

  • Adresa IP
  • Navigatorul de internet
  • Locatia
  • Paginile web pe care le accesati pe site-ul nostru

De ce colectam aceste informatii?

Colectam informatiile tale in scopuri determinate si legitime care includ, dar nu se limiteaza la urmatoarele:

  • In vederea incheierii sau executarii unui contract dintre dvs si noi;
  • Pentru a va raspunde la intrebari si solicitari;
  • In scop de marketing, insa doar in situatia in care avem consimtamantul dvs prealabil;
  • Pentru a oferi si imbunatati serviciile si produsele pe care le oferim;
  • Pentru a diagnostica sau a remedia probleme tehnice;
  • Pentru a ne apara impotriva atacurilor cibernetice;
  • Pentru crearea si/sau mentenanta conturilor;
  • Pentru a ne conforma legislatiei;
  • Pentru constatarea sau revendicarea unui drept in instanta;

Care este temeiul legal pentru prelucrare?

  • Prelucrarea este necesara pentru incheierea sau executarea unui contract intre dvs si noi, pentru a putea folosi site-ul web si aplicatia noastra in scopul analizei si elaborarii unui plan de dieta personalizat

Cat timp stocam datele?
Stocam datele cu caracter personal doar pe perioada necesara indeplinirii scopurilor, dar nu mai mult de 12 luni de la incetarea contractului sau ultima interactiune cu noi sau cu aplicatiile noastre.  Dupa incheierea perioadei, datele cu caracter personal vor fi distruse sau sterse din sistemele informatice sau transformate in date anonime pentru a fi utilizate in scopuri de cercetare stiintifica, istorica sau statistica. Retine faptul ca in anumite situatii expres reglementate, stocam datele pe perioada care ne este impusa de lege.

Cum partajam informatiile dvs cu ceilalti?
Putem dezvalui datele dvs, respectand legea aplicabila, partenerilor de afaceri sau altor terti. Depunem in permanenta eforturi rezonabile pentru a ne asigura ca acesti terti au implementate masuri adecvate de protectie si securitate. Cu acesti terti avem clauze contractuale astfel incat datele dvs sa fie protejate. Va vom informa cu privire la identitatea acestor companii inainte de transmitere sau intr-un termen rezonabil si ne vom asigura ca orice transfer este legitim, avand la baza consimtamantul dvs sau alt temei juridic. De exemplu, am putea furniza datele dvs catre alte companii, precum furnizorii de servicii IT sau telecomunicatii, contabilitate, servicii juridice si alti terti cu care avem o relatie contractuala. Acesti terti sunt selectati cu o grija deosebita astfel incat datele dvs sa fie prelucrate doar in scopurile pe care noi le indicam.  De asemenea, am putea partaja datele dvs catre parteneri de afaceri ca urmare a unui efort comun de a oferi un produs sau un serviciu. Desi putin probabil, am putea vinde in viitor afacerea sau o parte a afacerii, situatie care va include transferul datelor tale. Putem transmite datele si altor parti avand consimtamantul sau potrivit instructiunilor dvs.  Vom putea, de asemenea, furniza informatiile dvs cu caracter personal si catre parchet, politie, instantele judecatoresti si alte organe abilitate ale statului, in baza si in limitele prevederilor legale si ca urmare a unor cereri expres formulate. Ne vom asigura, in limite rezonabile, ca datele dvs nu parasesc Spatiul Economic European, insa, in masura in care vom transfera date catre state din afara SEE, ne vom asigura, in toate cazurile, ca transferurile sunt legitime, avand la baza consimtamantul dvs explicit sau alt temei legal.

Care sunt drepturile tale?

Drepturile dvs conform Regulamentului GDPR sunt urmatoarele:

  • Dreptul de retragere a consimtamantului
  • Dreptul de a fi informat cu privire la prelucrarea datelor tale
  • Dreptul de acces asupra datelor
  • Dreptul de a rectifica datele inexacte sau incomplete
  • Dreptul de stergere („dreptul de a fi uitat”)
  • Dreptul la restrictionarea prelucrarii
  • Dreptul de a transmite datele pe care le avem despre dvs catre alt operator
  • Dreptul de a va opune prelucrarii datelor
  • Dreptul de a nu face obiectul unei decizii bazate exclusiv pe prelucrarea automata, inclusiv crearea de profiluri
  • Dreptul de a va adresa justitiei
  • Dreptul de o plangere in fata unei Autoritati de Supraveghere

Va rugam sa retineti ca:

  • Va puteti retrage consimtamantul pentru marketing direct in orice moment prin urmarea instructiunilor de dezabonare din fiecare e-mail/sms sau alt mesaj electronic.
  • Daca vreti sa va exercitati drepturile, o puteti face prin transmiterea unei cereri scrise, semnate si datate la adresa de e-mail: sales@feedmesmart.com.
  • Drepturile enumerate mai sus nu sunt absolute. Exista exceptii, de aceea fiecare cerere primita va fi analizata astfel incat sa decidem daca este intemeiata sau nu. In masura in care cererea este intemeiata, va vom facilita exercitarea drepturilor. Daca cererea este neintemeiata, o vom respinge, insa va vom informa asupra motivelor refuzului si asupra drepturilor de a depune o plangere la Autoritatea de Supraveghere si de a va adresa justitiei.
  • Vom incerca sa raspundem solicitarii in termen de 30 de zile. Cu toate acestea, termenul poate fi prelungit in functie de diferite aspect, precum complexitatea cererii, numarul mare de cereri primite sau imposibilitatea de a va identifica intr-un termen util.
  • Daca, desi depunem toate eforturile, nu reusim sa va identificam, iar dvs nu ne furnizati informatii suplimentare pentru a reusi sa va identificam, nu suntem obligati sa dam curs solicitarii.

Intrebari, solicitari si exercitarea drepturilor 

Daca aveti intrebari sau nelamuriri cu privire la prelucrarea informatiilor dvs sau doriti sa va exercitati drepturile legale sau aveti orice alta ingrijorare cu privire la confidentialitate, ne puteti scrie la adresa de e-mail sales@feedmesmart.com sau office@umba.ro.
